PAS-3 is associated with reporting allotment of securities, but it does not replace the approvals and conditions of the underlying issue. Rights, private-placement and other issue routes can have different requirements. Determine the route, eligibility, valuation and documentation before treating the transaction as routine form filling. [1] [2]
Prepare an issue and funds brief
Record the security type, number, price, proposed allottees, consideration and capital headroom. Review valuation and offer/approval requirements where applicable. Trace funds and ensure the application/allotment records accurately reflect the actual transaction.
Complete the corporate record
Prepare decisions, allottee details, returns, registers and certificates under the applicable process. Reconcile the resulting paid-up capital and ownership with accounts and future annual returns. Keep the final signed documents and filing acknowledgements rather than only a spreadsheet of investors.
Practical preparation checklist
- Chosen issue route and applicable approvals.
- Capital headroom, valuation/price and allottee details.
- Application and payment/consideration evidence.
- Allotment records, PAS-3 assessment, registers and certificates.
Illustrative example
A founder wants to convert an advance into equity. That cannot be assumed to be a normal cash allotment without reviewing the nature of the amount, issue route and required evidence. Accounting treatment and corporate compliance must align.
Avoid this mistake
Do not backfill an issue route after money has been received or regard a successful filing as proof that every underlying step was valid. Complex issues, non-cash consideration or non-resident investment need additional specialist review.
