MGT-7 is the general annual-return framework; MGT-7A is the abridged return framework for eligible OPCs and small companies. Current eligibility and form instructions should be checked for the relevant reporting period. Neither form replaces the financial-statement filing or income-tax return. [1] [2]
Compile the annual corporate record
Review the registered office, business activities, shareholding, capital changes, promoters/directors, meetings and other relevant statutory information. Reconcile the annual view with event filings and registers. An unchanged bank balance does not establish that corporate records were unchanged.
Review classification and certification
Document why the selected form is applicable and check who must sign or certify it. Confirm the reporting date and meeting-related details. Keep the supporting registers and final return together so later queries can be answered without reconstructing the ownership history. [1]
Practical preparation checklist
- Current OPC/small-company/general classification assessment.
- Shareholding, capital and director/management records.
- Meetings, office and event-filing reconciliation.
- Correct signatures/certification and acknowledgement.
Illustrative example
A company qualified as small in an earlier period but later changes its capital or group structure. Reusing the earlier form without review can be inappropriate. The annual assessment should reflect the applicable year’s facts and rules.
Avoid this mistake
Do not assume MGT-7A means no annual work is required. Do not fill the return solely from the previous year’s copy. Confirm changes with the company and reconcile the record to actual approvals and filings.
