An LLP quotation should distinguish incorporation fees, agreement duty, any Form 3 filing provision, DSC/provider charges and professional services. Contribution can influence fee slabs, while agreement duty depends on the applicable state instrument rules and case facts. A general partnership-deed reference is not automatically a confirmed LLP tariff. [1] [2]
Define the amount and scope
Confirm cash or non-cash contribution, partners, existing valid DSCs and state. Check whether name reservation, agreement drafting, Form 3 professional work and later compliance are included. A statutory filing provision does not itself mean the related professional service is included.
Read pending items explicitly
The calculator may show a known-charge subtotal where a state classification or levy needs confirmation. That omitted item is not zero. Review the active rate status, receipt/challan and agreement-execution requirements before treating an estimate as the final payable amount. Separate any tax treatment from the duty calculation.
Practical preparation checklist
- Contribution, state and partner/signatory inputs.
- FiLLiP, Form 3 and agreement-duty lines separately.
- Professional, DSC and additional-work scope.
- Pending components and final confirmation/receipts.
Illustrative example
A low-contribution LLP and a higher-contribution LLP in the same state can have different national filing fees. Two LLPs with the same contribution in different states may also differ in agreement duty. One flat nationwide “government fee” hides these distinctions.
Avoid this mistake
Do not add both an automatic Form 3 provision and an identical add-on without checking for duplication. Do not call notary/provider charges statutory duty. Ask for an itemised estimate and clear conditions before purchasing the service.
