An LLP agreement should reflect the partners’ actual commercial understanding and the applicable law. Agreement execution/stamping and Form 3 filing are connected but not identical steps. Use the state’s applicable stamping mechanism and the current MCA instruction kit for the actual agreement and filing. [1] [2]
Draft the operating rules clearly
Cover contribution, profit/loss sharing, management authority, drawings/remuneration where relevant, admission/retirement, records, banking and dispute handling. Special contributions or rights need explicit treatment. A template with blank percentages can create ambiguity even where the incorporation process is complete.
Manage execution and change history
Confirm the execution details, appropriate duty and permitted physical/e-stamp or other method. Retain the executed original and a legible scan. Assess the relevant filing, signatures, attachments and deadline using current rules. Later agreement changes need their own documented approval and filing assessment.
Practical preparation checklist
- Partner-approved commercial terms and contribution details.
- Applicable state duty/classification and execution method.
- Executed agreement, original custody and readable scan.
- Form 3/follow-on filing and amendment records.
Illustrative example
Partners agree to change their profit-sharing arrangement after incorporation. Editing an internal spreadsheet does not update the executed agreement or complete any required filing. The change should be documented and assessed formally.
Avoid this mistake
Do not assert that physical stamp paper is the only permitted method in every state, or use company MOA/AOA duty for an LLP agreement. Property contributions and cross-state execution can require specialist assessment beyond a standard cash-contribution quotation.
