Stopping operations does not itself dissolve a company or LLP. A strike-off or other closure route has eligibility, documentation and approval requirements. Review assets, liabilities, disputes, pending filings and the actual history before choosing an application rather than assuming every inactive entity can use the same form. [1] [2]
Build a closure position
Prepare accounts and a list of bank balances, assets, creditors, loans, taxes, employee dues and contingent matters. Resolve or properly address obligations through the applicable process. Obtain the required approvals and truthful declarations; do not conceal a liability to fit a simplified route.
Coordinate separate registrations
Review tax registrations, licences, contracts and banking separately. Keep application and final-order evidence and arrange lawful record retention. Clarify who will receive later communications. A closure filing does not automatically settle every prior liability or personal guarantee.
Practical preparation checklist
- Current entity status and appropriate closure-route assessment.
- Assets, liabilities, litigation and tax reconciliation.
- Required approvals/declarations and filing prerequisites.
- Separate GST/licence/bank actions and retained records.
Illustrative example
A company has no sales but still owes a founder loan and has pending statutory filings. Calling it dormant in everyday language does not prove eligibility for strike-off. The liabilities and filing position must be examined.
Avoid this mistake
Do not promise that closure wipes out debt, tax or director/partner responsibility. Where insolvency, creditor disputes or valuable assets exist, obtain specialist advice on the appropriate route rather than using a low-cost closure template.
