Read for preparation. Confirm the current official requirements for your facts and reporting period before filing or paying.

A startup’s first year can involve incorporation follow-up, accounting, tax registrations, contracts, ownership records and annual filings. Recognition is one possible status, not a replacement for these obligations. Plan the work according to the actual entity, transactions, employees and regulated activities. [1] [2] [3]

Set up the operating record

Separate entity banking and books, maintain capital/contribution and founder decisions, and document commercial/IP ownership arrangements. Identify necessary tax/sector registrations and authorised signing access. Keep issued certificates and acknowledgements in a controlled workspace, not scattered personal inboxes.

Prepare for periodic review

Assign owners for monthly accounting, GST/TDS where applicable, corporate events, audits and annual returns. Maintain an investor-ready index of ownership, contracts, financial statements, compliance status and unresolved issues. Readiness means accurate records and disclosed gaps, not a decorative pitch-deck badge.

Practical preparation checklist

  • Entity, ownership and post-incorporation action pack.
  • Banking/books, contracts and relevant IP records.
  • Tax/sector obligations and monthly/annual calendar.
  • Evidence room with acknowledgements and a current exception list.

Illustrative example

A startup changes its shareholding while preparing a funding presentation. The cap table should reconcile with actual allotment/transfer records and filings. An attractive spreadsheet that contradicts statutory records is not investor-ready.

Avoid this mistake

Do not buy a vague “all compliance” plan without deliverables and limits. Agree who handles accounting, statutory audit, tax, event filings and recognition work. Keep deadlines current and seek specific advice for non-resident investment, regulated activities or material disputes.
